1. Acceptance of Terms
By accessing or using any part of the Vruent platform ("Service"), including our website (vruent.com), mobile interfaces, APIs, AI-powered recruitment tools, employer portal, and candidate portal, you ("User", "you") agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must immediately discontinue use of the Service.
These Terms constitute a legally binding agreement between you and Vractice Innovative Learning Private Limited, a company incorporated under the laws of India (CIN to be updated), operating under the brand name "Vruent" ("Company", "Vruent", "we", "us", "our").
These Terms apply to all categories of users: candidates seeking employment, employers and their authorized representatives accessing candidate evaluations, and any other person accessing the Service.
We reserve the right to modify these Terms at any time by posting the revised version on this page and updating the "Last updated" date. Material changes will take effect 15 days after posting. Your continued use of the Service after the effective date of any modification constitutes your binding acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- Candidate: Any individual who creates an account on the platform for the purpose of seeking employment opportunities, submitting applications, or participating in AI-powered screening interviews.
- Employer: Any company, organization, or its authorized representative that accesses the Service to receive evaluated candidate profiles, interview recordings, AI-generated scores, and recommendations for the purpose of making hiring decisions.
- AI Evaluation: Any output generated by Vruent's artificial intelligence systems, including but not limited to composite scores, skill breakdowns, interview transcripts, career snapshots, highlights, and hire/pass recommendations.
- Content: Any information, data, text, audio, video, images, resumes, documents, or other materials submitted to, generated by, or displayed on the Service.
- Placement: A confirmed hire of a candidate by an employer where the candidate was sourced, screened, or introduced through the Vruent platform.
- Replacement Guarantee: The guarantee period, if any, as separately agreed in writing between Vruent and the employer, during which Vruent will provide a replacement candidate at no additional fee if the placed candidate leaves employment.
3. Service Description
Vruent is an AI-powered recruitment consultancy that provides the following services:
- Candidate sourcing across multiple channels including job boards, referrals, and direct applications.
- AI-powered candidate screening through structured video and audio interviews conducted by artificial intelligence.
- Automated skill evaluation, composite scoring (0–100 scale), and AI-generated hire/pass recommendations based on interview performance and profile analysis.
- Employer portal providing access to evaluated candidate profiles, interview recordings, transcripts, skill breakdowns, and AI recommendations.
- Candidate portal for profile management, job discovery, application tracking, and AI interview completion.
- Job listing and discovery across multiple industries in India.
Vruent acts as a recruitment intermediary and expressly does not guarantee employment outcomes for candidates or hiring outcomes for employers. All hiring decisions remain at the sole and absolute discretion of the employer. Vruent does not function as an employer, staffing agency, or employment agency, and no employer-employee relationship is created between Vruent and any candidate or between Vruent and any employer's hired personnel.
4. Eligibility
You must be at least 18 years of age to use the Service. By creating an account or using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
If you are accessing the Service on behalf of an organization (as an employer or employer representative), you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include that organization.
Vruent reserves the right to refuse service, terminate accounts, or restrict access at our sole discretion, without obligation to provide a reason.
5. Account Registration and Security
To access certain features of the Service, you must create an account by providing accurate and complete information. You are solely responsible for:
- Maintaining the confidentiality of your account credentials, including passwords, session tokens, and any authentication mechanisms.
- All activities that occur under your account, whether or not authorized by you.
- Immediately notifying Vruent at support@vruent.com of any unauthorized use of your account or any other breach of security.
- Ensuring that the information in your account remains accurate, current, and complete at all times.
Vruent shall not be liable for any loss or damage arising from your failure to comply with this section. You acknowledge that Vruent may rely on the authenticity of information and instructions received from your account.
6. User Responsibilities
As a user of the Service, you agree to the following responsibilities:
All Users
- Provide accurate, truthful, and complete information when creating an account, submitting forms, or using any feature of the platform.
- Use the Service only for its intended lawful purpose and in compliance with all applicable Indian laws, regulations, and these Terms.
- Refrain from attempting to access, probe, scan, or test the vulnerability of the Service or any related system or network, or to breach any security or authentication measures.
- Not use any automated means (including bots, scrapers, crawlers, or data mining tools) to access, monitor, copy, or extract data from the Service without our express prior written consent.
- Not interfere with or disrupt the integrity, performance, or availability of the Service or the data contained therein.
- Not impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
Candidates
- Provide accurate and up-to-date professional information, including work experience, education, skills, certifications, and salary expectations. Misrepresentation of qualifications is grounds for immediate account termination and removal from all active applications.
- Participate in AI interviews with integrity — answer questions honestly, represent your own skills and experience, and do not use unauthorized assistance, AI tools, impersonation, proxy participants, or any form of cheating during screening interviews.
- Acknowledge and consent to the recording, AI processing, and employer sharing of interview recordings and AI-generated evaluations as described in Section 7 (Recording & AI Processing Consent).
- Not apply to positions for which you are clearly unqualified or submit spam applications to multiple unrelated roles.
Employers
- Use candidate data, recordings, evaluations, and recommendations shared through the platform exclusively for legitimate hiring evaluation purposes related to the specific roles for which the candidates were shared.
- Maintain strict confidentiality of all candidate information, interview recordings, AI scores, and evaluations accessed through the employer portal.
- Not download, copy, distribute, share, forward, publish, or otherwise disseminate candidate recordings, evaluations, or any AI-generated content outside the authorized employer portal access, except as explicitly authorized in writing by Vruent.
- Not use candidate information obtained through Vruent for any purpose other than evaluating the candidate for the specific role(s) for which the profile was shared.
- Promptly provide feedback on shared candidates through the employer portal to enable efficient pipeline management.
- Comply with all applicable employment laws, anti-discrimination regulations, and data protection requirements when using candidate information for hiring decisions.
7. Recording and AI Processing Consent
By participating in AI-powered screening interviews on the Vruent platform, you explicitly and irrevocably consent to the following:
- Audio Recording: Your voice will be recorded in its entirety during AI interviews for evaluation, transcription, scoring, and quality assurance purposes.
- Video Recording: If the interview is configured for video mode, your video (capped at 480p resolution) will be recorded for evaluation, employer review, and quality assurance purposes. If the job requires a video interview, camera access is mandatory and cannot be bypassed.
- AI Processing: Your recordings, transcripts, and responses will be processed by artificial intelligence systems — including but not limited to speech-to-text, natural language processing, and large language models — to generate transcripts, evaluate skills, assign composite scores, produce skill breakdowns, and create hire/pass recommendations.
- Employer Access: Interview recordings, AI-generated transcripts, composite scores, skill breakdowns, career snapshots, highlights, and recommendations will be shared with prospective employers through the controlled employer portal for the purpose of hiring evaluation.
- AI Model Improvement: Anonymized and aggregated data derived from your interviews may be used to improve, train, test, and enhance Vruent's AI models, scoring algorithms, and service quality. No personally identifiable information will be used for model training without your explicit consent.
- Retention: Recordings, transcripts, and all associated AI-generated data are retained for a minimum of 5 years from the date of recording in accordance with our Privacy Policy and applicable Indian record-keeping requirements.
You may withdraw your consent by submitting a written request to privacy@vruent.com. However, withdrawal of consent will result in: (a) immediate removal of your candidacy from all active and future job applications; (b) inability to participate in AI interviews or use screening-dependent features of the Service; and (c) potential inability to access certain features of the Service. Withdrawal of consent does not affect the lawfulness of processing performed prior to the withdrawal. Data already shared with employers prior to the withdrawal cannot be recalled.
8. AI-Generated Content Disclaimer
You acknowledge and agree to the following regarding AI-generated content on the Vruent platform:
- AI Evaluations, including composite scores, skill breakdowns, career snapshots, highlights, and hire/pass recommendations, are generated by automated systems and are provided as decision-support tools only. They are not infallible, may contain errors, and should not be the sole basis for any employment decision.
- Vruent does not warrant the accuracy, completeness, reliability, or suitability of any AI-generated content for any particular purpose. AI outputs reflect algorithmic analysis of interview responses and profile data; they do not constitute professional advice, certification of skills, or endorsement of any candidate.
- Employers are solely responsible for their hiring decisions. Vruent expressly disclaims any liability for hiring decisions made by employers based on AI-generated evaluations, whether in whole or in part.
- AI models may produce different results for similar inputs due to the probabilistic nature of large language models. Score variations between candidates should be interpreted in context and not as absolute measures of capability.
- Vruent continually improves its AI systems. AI model updates may result in changes to scoring patterns, recommendation formats, or evaluation criteria over time. Historical scores should not be compared across different model versions.
9. Fees and Payment (Employers)
Vruent's fee structure for recruitment services is as follows:
- No Upfront Fees: There are no retainers, subscription fees, platform access fees, or upfront charges of any kind. Employers pay only upon a successful Placement.
- Placement Fee: Upon a confirmed Placement, the employer agrees to pay Vruent a recruitment fee as separately agreed in writing between Vruent and the employer prior to the commencement of the search.
- Payment Terms: Unless otherwise agreed in writing, payment is due within 30 days of the candidate's joining date. Late payments will attract interest at the rate of 1.5% per month (18% per annum) on the outstanding amount.
- Replacement Guarantee: If a placed candidate leaves employment during the agreed replacement guarantee period (as specified in the separate written agreement), Vruent will provide a replacement search at no additional fee, subject to the terms of the written agreement.
- Taxes: All fees are exclusive of applicable Goods and Services Tax (GST) and any other taxes, which shall be charged additionally as per prevailing rates.
Specific fee percentages, payment terms, and replacement guarantee periods are defined in separate written agreements between Vruent and the employer. In the absence of a separate written agreement, Vruent's standard terms and fee schedule as communicated to the employer shall apply.
10. Non-Circumvention and Non-Solicitation
To protect the integrity of the Vruent recruitment process, employers agree to the following:
- Non-Circumvention: If an employer is introduced to a candidate through the Vruent platform (whether through shared profiles, shortlists, or any other means), the employer shall not hire, engage, or contract with that candidate — directly or through any third party — for a period of 12 months from the date of introduction without paying the applicable Vruent placement fee.
- Non-Solicitation: Employers shall not directly or indirectly solicit, contact, or recruit candidates who have been introduced by Vruent for any position at the employer's organization or any affiliated entity, except through the Vruent platform, for a period of 12 months from the date of introduction.
- Extended Application: The non-circumvention and non-solicitation obligations apply regardless of whether the candidate was ultimately placed through Vruent, rejected by the employer, or withdrew from the process. The obligations apply to any role at the employer's organization, not only the specific role for which the candidate was originally introduced.
- Breach: Any hire, engagement, or contract in violation of this section shall trigger the full applicable placement fee, payable within 15 days of Vruent's written notice. Vruent reserves the right to pursue additional damages, including legal costs.
This section survives termination of these Terms and any separate agreement between Vruent and the employer.
11. Intellectual Property
All content, features, functionality, and technology of the Service — including but not limited to the AI screening technology, scoring algorithms, evaluation methodologies, interview question banks, user interface design, source code, text, graphics, logos, icons, images, audio/video processing pipelines, and software — are the exclusive property of Vractice Innovative Learning Private Limited (operating as Vruent) and are protected by Indian and international intellectual property laws, including copyright, trademark, patent, and trade secret laws.
The Vruent name, logo, tagline ("Pre-Screened Talent. Delivered."), and all related names, logos, product and service names, designs, and slogans are trademarks of Vractice Innovative Learning Private Limited. You may not use these marks without our prior written consent.
You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, reverse engineer, decompile, or otherwise exploit any part of the Service or its underlying technology without our express prior written consent.
12. License to User Content
Content you submit to the platform (including resumes, interview responses, profile information, documents, photos, and any other materials) remains your intellectual property. However, by submitting content to the Service, you grant Vruent a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable, transferable license to:
- Use, reproduce, process, store, transmit, display, and share your content as necessary to provide, operate, and maintain the Service.
- Process your content through AI systems for the purpose of generating evaluations, scores, transcripts, recommendations, and other AI-generated outputs.
- Share your content and AI-generated outputs with employers as part of the recruitment process.
- Use anonymized and aggregated versions of your content and interaction data to improve, train, test, and enhance Vruent's AI models, algorithms, and services.
- Use your content for internal analytics, research, quality assurance, and service improvement purposes.
- Retain your content in accordance with our data retention policies as described in our Privacy Policy.
You represent and warrant that you own or have all necessary rights, licenses, and permissions to submit your content and to grant the above license, and that your content does not violate any third party's intellectual property rights, privacy rights, or any applicable law. You are solely responsible for the accuracy and legality of the content you submit.
13. Confidentiality
Certain information accessed through the Service is confidential:
- Employer Confidentiality: Employers shall treat all candidate information, AI evaluations, interview recordings, and recommendations received through the Vruent platform as confidential. This information shall not be shared with unauthorized third parties, published, or used for any purpose other than evaluating the candidate for the specific role(s) for which it was shared.
- Candidate Confidentiality: Candidates acknowledge that their evaluated profiles, scores, and recordings may be shared with prospective employers. Candidates shall not disclose the specific content of AI interview questions, scoring criteria, or evaluation methodologies to third parties.
- Mutual Obligations: Both parties shall not disclose any non-public business information, pricing, processes, or proprietary information of Vruent obtained through the use of the Service.
Confidentiality obligations survive termination of these Terms for a period of 3 years. Breach of confidentiality may result in immediate termination and legal action, including claims for damages and injunctive relief.
14. Prohibited Activities
You agree not to engage in any of the following activities:
- Using the Service for any unlawful purpose or in violation of any applicable local, state, national, or international law.
- Scraping, data mining, crawling, or using any automated means to access, extract, or collect data from the Service.
- Attempting to gain unauthorized access to any portion of the Service, other user accounts, computer systems, or networks connected to the Service.
- Uploading, transmitting, or distributing any virus, worm, trojan horse, or other malicious code through the Service.
- Using the Service to build a competitive product or service, or copying any features, functions, or graphics of the Service.
- Circumventing, disabling, or interfering with any security-related features of the Service.
- Creating multiple accounts to circumvent restrictions, bans, or limitations imposed by Vruent.
- Using AI tools, chatbots, or automated systems to generate interview responses on behalf of a candidate during AI screening interviews.
- Selling, reselling, licensing, or commercially exploiting access to the Service or any data obtained through the Service.
- Attempting to reverse engineer, decompile, disassemble, or derive the source code of any software or AI models used in the Service.
15. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- In no event shall Vruent, its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or revenue, arising out of or related to your use of or inability to use the Service, regardless of the cause of action or the theory of liability (contract, tort, strict liability, or otherwise), even if Vruent has been advised of the possibility of such damages.
- Vruent's total aggregate liability for all claims arising under or in connection with these Terms or the Service shall not exceed the greater of: (a) the total amount paid by you to Vruent in the 12 months immediately preceding the event giving rise to the claim; or (b) INR 10,000 (Indian Rupees Ten Thousand).
- Vruent is not liable for any hiring decisions made by employers, whether based in whole or in part on AI-generated evaluations, scores, recommendations, or any other information provided through the Service.
- Vruent is not liable for any employment outcomes, including but not limited to failure to obtain employment, termination of employment, salary disputes, or workplace conditions.
- Vruent is not liable for the accuracy, completeness, or suitability of any AI-generated content, including scores, recommendations, transcripts, or skill evaluations.
- Vruent is not liable for any actions taken by employers or candidates based on information obtained through the Service.
- Vruent is not liable for any loss or damage resulting from unauthorized access to your account arising from your failure to maintain the confidentiality of your credentials.
16. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VRUENT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment.
- Any warranty that the Service will be uninterrupted, timely, secure, error-free, or free of harmful components.
- Any warranty regarding the accuracy, reliability, completeness, or quality of any AI-generated content, scores, evaluations, or recommendations.
- Any warranty that the Service will meet your specific requirements or expectations.
- Any warranty regarding the qualifications, suitability, or integrity of any candidate or employer on the platform.
- Any warranty that defects in the Service will be corrected.
You assume all risk for your use of the Service. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you to the extent prohibited by applicable law.
17. Indemnification
You agree to indemnify, defend, and hold harmless Vruent, Vractice Innovative Learning Private Limited, and its directors, officers, employees, agents, contractors, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees and legal costs) arising out of or in connection with:
- Your use of or access to the Service.
- Your violation of these Terms or any applicable law or regulation.
- Your violation of any third party's rights, including intellectual property rights, privacy rights, or contractual rights.
- Any content you submit to the Service, including any claims that your content is inaccurate, misleading, or infringes on any third party's rights.
- Any hiring decision made by you (if you are an employer) based on information obtained through the Service.
- Any dishonest conduct, misrepresentation, or fraud committed by you during the use of the Service, including during AI interviews.
- Your breach of the confidentiality, non-circumvention, or non-solicitation obligations under these Terms.
This indemnification obligation survives termination of these Terms and your use of the Service.
18. Termination
Vruent may suspend, restrict, or terminate your access to the Service immediately, with or without prior notice, at our sole discretion, for any reason, including but not limited to:
- Violation of these Terms, our Privacy Policy, or any applicable law.
- Providing false, misleading, fraudulent, or materially incomplete information.
- Using unauthorized assistance, AI tools, impersonation, or engaging in dishonest conduct during AI interviews.
- Misuse, unauthorized sharing, or breach of confidentiality of candidate data, employer data, or any information obtained through the Service.
- Non-payment of fees or breach of any commercial agreement with Vruent.
- Any conduct that Vruent, in its sole judgment, believes is harmful to other users, the Service, Vruent's reputation, or Vruent's business interests.
- Extended period of account inactivity (12 months or more).
- Discontinuation or material modification of the Service or any part thereof.
Upon termination: (a) your right to access and use the Service will immediately cease; (b) Vruent may delete your account data after a reasonable wind-down period, subject to our data retention obligations under applicable law and our Privacy Policy; (c) any outstanding payment obligations shall remain due and payable; and (d) provisions of these Terms that by their nature should survive termination — including intellectual property, license to user content, limitation of liability, indemnification, confidentiality, non-circumvention, dispute resolution, and governing law — shall continue in full force and effect.
19. Dispute Resolution and Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the breach, termination, or validity thereof shall be resolved as follows:
- Good-Faith Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation for a period of 30 days from the date written notice of the dispute is delivered to the other party.
- Mediation: If the dispute is not resolved through negotiation, the parties shall attempt to resolve it through mediation administered by a mutually agreed-upon mediator in Gurgaon, Haryana, for a period of 30 days.
- Arbitration: If the dispute is not resolved through mediation, it shall be finally settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, or failing agreement within 15 days, appointed in accordance with the provisions of the Act. The seat and venue of arbitration shall be Gurgaon, Haryana, India. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties and enforceable in any court of competent jurisdiction.
- Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action or class-wide arbitration.
- Injunctive Relief: Notwithstanding the foregoing, Vruent may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent irreparable harm.
Each party shall bear its own costs of negotiation and mediation. The costs of arbitration, including the arbitrator's fees, shall be borne as determined by the arbitrator, but in no event shall Vruent be required to bear the User's costs.
20. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Subject to the arbitration clause above, any disputes not subject to arbitration shall be subject to the exclusive jurisdiction of the courts located in Gurgaon, Haryana, India.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable. The invalidity of any provision shall not affect the validity of the remaining provisions.
21. Force Majeure
Vruent shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay results from circumstances beyond Vruent's reasonable control, including but not limited to: acts of God, natural disasters, epidemics, pandemics, war, terrorism, riots, civil disorder, government actions or orders, labor disputes, strikes, fire, flood, earthquake, power outages, internet or telecommunications failures, cyber attacks, failures of third-party service providers (including cloud hosting, AI model providers, and payment processors), or any other event beyond Vruent's reasonable control.
During any force majeure event, Vruent's obligations under these Terms shall be suspended for the duration of the event, and Vruent shall not be required to provide any refunds, credits, or compensation for any service disruption caused by such an event.
22. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and any separate written agreements between you and Vruent, constitute the entire agreement between you and Vruent regarding the Service and supersede all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
- Waiver: No failure or delay by Vruent in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. A waiver of any right on one occasion shall not be construed as a waiver of that right on any subsequent occasion.
- Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without Vruent's prior written consent. Vruent may freely assign these Terms and its rights and obligations hereunder to any successor, affiliate, or acquirer without your consent.
- Notices: All notices to Vruent must be sent in writing to legal@vruent.com. Notices to you may be sent to the email address associated with your account. Notices shall be deemed delivered upon transmission if sent by email.
- No Agency: Nothing in these Terms shall be construed to create any partnership, joint venture, employer-employee, or agency relationship between you and Vruent.
- Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.
- Survival: Sections relating to intellectual property, license to user content, confidentiality, non-circumvention, limitation of liability, disclaimer of warranties, indemnification, dispute resolution, and governing law shall survive the termination or expiration of these Terms.
